1. Status of these terms
1.1 These are the default terms of business of Augur Ltd, trading as Augur Accountants (registered office: 15 Roxford Close, Upper Halliford, Surrey TW17 8RS).
1.2 Where you have been issued with, and have signed, a specific engagement letter and/or have accepted a quotation from us (each evidenced by signature, including digital signature), the terms of that engagement letter and quotation govern our relationship with you and take precedence over these website Terms & Conditions in the event of any conflict or inconsistency.
1.3 These Terms & Conditions apply as our default, fallback terms of business: (a) before a specific engagement letter has been signed, in relation to any enquiry, quotation or preliminary work; and (b) to the extent that a matter arising during an engagement is not already addressed by your signed engagement letter and/or quotation. They are not intended to, and shall not be interpreted so as to, conflict with the terms of any engagement letter or quotation you have signed with us.
1.4 Terms defined in your engagement letter have the same meaning when used here. In these terms, "we", "us" and "our" means Augur Ltd trading as Augur Accountants, and "you" and "your" means the client or prospective client.
2. Our services
2.1 The specific accountancy, tax, payroll and advisory services we provide to you, and our and your respective responsibilities, are set out in your engagement letter and any accompanying schedules. Nothing in these default terms extends the scope of services we have agreed to provide.
2.2 We are not authorised by the Financial Conduct Authority to conduct investment business. If you require investment business services, we will refer you to a firm authorised by the Financial Conduct Authority.
2.3 We do not hold client money.
3. Fees and payment
3.1 Fees for a specific engagement are set out in your engagement letter and/or quotation. Unless otherwise agreed in writing, invoices are due for payment on presentation.
3.2 Where no other payment term has been agreed, invoices are payable within 30 days of the invoice date.
3.3 We reserve the right to charge interest on overdue invoices at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend services or cease to act on giving written notice if payment is unduly delayed. We will only exercise these rights where it is fair and reasonable to do so.
3.4 Unless otherwise agreed with you, contracts for ongoing services are made for an initial term of six (6) months and may be cancelled by either party giving 90 clear days' advance notice after the initial term has expired.
4. Limitation of liability
4.1 We will perform our engagement with reasonable skill and care. Unless a different limit is agreed in your engagement letter, our total aggregate liability to you (and, where you are a company, to your board of directors as a body), of whatever nature and however arising out of or in connection with our services, shall not exceed £35,000 across all claims combined.
4.2 We do not accept liability for indirect or consequential losses, including but not limited to loss of profit.
4.3 We do not accept liability for defects arising from data or information you or your representatives provide to us, or for errors made by third-party advisers.
4.4 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
5. Use of Artificial Intelligence
5.1 We may use artificial intelligence tools and automated software agents ("AI Agents"), including AI Agents operating within Odoo and other accounting or business software, to access, process and work with your data and records for the purposes of preparing, reviewing and delivering our services.
5.2 All work produced with the assistance of AI Agents is reviewed by a qualified member of our staff before it is relied upon or issued to you, and we remain fully responsible for the accuracy and quality of work delivered, regardless of the tools used to produce it.
5.3 We will ensure AI Agents we use are configured and operated in accordance with our confidentiality and data protection obligations, and your data will not be used to train any third-party AI model without your prior written consent.
5.4 If you do not wish us to use AI Agents in connection with your affairs, or wish to restrict their use, please notify us in writing and we will agree an alternative approach, which may affect our fees or timescales.
6. Confidentiality
6.1 Where you give us confidential information, we will keep it confidential at all times, other than as required by law or as provided for in regulatory, ethical or other professional statements relevant to our engagement.
7. Data protection
7.1 We process personal data in accordance with the Data Protection Act 2018 and UK GDPR. We will only use your personal data, and any personal data you give us access to, to administer your account and provide the services you have requested.
7.2 Our privacy notice, available on request or as issued with your engagement letter, sets out our approach to handling your information in full.
7.3 We may communicate or transfer data using hard-copy documents, password-protected or encrypted email, unencrypted email (where you accept the associated risks), cloud software, or your Odoo system, as applicable and as agreed with you.
8. Intellectual property
8.1 We retain copyright in any document we prepare during the course of an engagement, save where the law specifically provides otherwise.
9. Electronic communication
9.1 Internet communications are capable of data corruption, and we do not accept responsibility for changes made to communications after despatch. It may be inappropriate to rely on advice in an email without written confirmation. We do not accept responsibility for errors or problems arising through the use of internet communication, and the risks of sending commercially sensitive information are borne by you unless you notify us in writing that email is not an acceptable means of communication.
9.2 It is the recipient's responsibility to carry out a virus check on any attachments received.
9.3 Where we issue documents for electronic signature, we comply with the Electronic Communications Act 2000.
10. Conflicts of interest
10.1 We will inform you if we become aware of a conflict of interest in our relationship with you, or between you and another client, and will put in place appropriate safeguards. Where a conflict cannot be managed in a way that protects your interests, we will be unable to continue to act and will inform you promptly.
11. Quality of service and complaints
11.1 We aim to provide a fully satisfactory service. If you have a concern, please contact our office on 01932 918 917 or by email at hello@auguraccountants.com, and we will look into it carefully and promptly.
11.2 If we do not resolve your complaint to your satisfaction, you may refer the matter to the Association of International Accountants, by whom we are regulated. This should be done promptly, and in any event no later than six months after exhausting our complaints procedure.
12. Professional rules and practice guidelines
12.1 We observe and act in accordance with the bye-laws, regulations and Code of Ethics of the Association of International Accountants.
12.2 In accordance with our professional body's rules, we are required to hold professional indemnity insurance. Details of our insurer and coverage are available on request.
13. Limitation of third-party rights
13.1 Advice and information we provide is for your sole use. We accept no responsibility to third parties, including any group company, for any advice, information or material we produce for you which you make available to them. A party to an engagement with us is the only person entitled to enforce its terms, and no rights or benefits are conferred on any third party under the Contracts (Rights of Third Parties) Act 1999.
14. Continuity of practice
14.1 Provision for continuity of service has been made with another accountant in the event that we become unable to provide services through incapacity or any other reason.
15. Changes in the law
15.1 We will not accept responsibility for advice given on an earlier occasion if it is acted upon without first confirming with us that the advice remains valid in light of any change in the law or your circumstances. We accept no liability for losses arising from changes in the law, or its interpretation, first published after the date the advice was given.
16. Termination and disengagement
16.1 Either party may terminate an ongoing engagement in accordance with clause 3.4 above, or as otherwise set out in your engagement letter. Should we resign, or be asked to resign, we will normally issue a disengagement letter so that our respective responsibilities are clear.
16.2 Should we have no contact with you for a period of 90 days or more, we may issue a disengagement letter to your last known address and subsequently cease to act.
17. General
17.1 If any provision of these terms is held to be void, that provision will be deemed not to form part of these terms, and the remainder shall be interpreted as if it had never been included.
17.2 These terms may only be varied by written agreement, save that we may update these default website terms from time to time; the version in force at the date of your engagement letter, or as updated with your written agreement, will apply.
17.3 Any failure by either party to enforce a right under these terms is not a waiver of that right.
18. Applicable law
18.1 These terms, and any engagement with us, are governed by, and construed in accordance with, English law. The courts of England have exclusive jurisdiction in relation to any claim, dispute or difference concerning these terms or an engagement with us, and each party irrevocably waives any right to object to proceedings being brought in those courts.
